Agreement Terms and Conditions Safyrion and The Partner Activity Provider

1. Parties
1. These Terms and Conditions (“Agreement”) are entered into between Safyrion, located at Safyrion, Rue Sayda Residence Al Fajr N03 Tetouan with R.C :35549 and The Partner Activity Provider, located Rue Sayda Residence Al Fajr N03 Tetouan, Maroc and its Partners.

3. The Client: the (potential) buyer of offered services from Safyrion, as an intermediate or as a service provider, or through the reservation platform of Sayrion.com or Osafyr.com.
4. The Partner Activity Provider: The Partner Activity Provider as a Partner of Safyrion. The Partner Activity Provider uses the service of Safyrion as an intermediate travel agency and for the administrative handling and payment for the activity provided by The External Activity Provider. The External Activity Provider has his or her own terms and conditions for offering activities.
This Agreement governs the relationship between Safyrion and The Partner Activity Provider. The relationship for an activity between The Partner Activity Provider and a Client is governed by The Partner Activity Provider.
2. Safyrion services as an intermediate travel agency
1. The Partner Activity Provider uses the services of Safyrion as intermediate travel agent for collecting Clients through different marketing and communication media.
2. The Partner Activity Provider uses the services of Safyrion as an intermediate travel agent for collecting payments from The Clients.
3. By offering activities through Safyrion, The Partner Activity Provider automatically agrees with the terms and conditions of Safyrion.
3. The Partner Activity Provider and The Client
1. Clients can purchase activities from The Partner Activity Provider and offers through Safyrion Travel Agency. When a Client purchases an activity via Safyrion, The Client purchases the activity directly from The Partner Activity Provider.
2. Safyrion manages and cancels Bookings, and makes full or partial refunds to Clients, as set forth in this Agreement on behalf of the Partner Activity Provider.
3. Safyrion may decide to reject the conclusion of The Partner Activity Provider-or the Partners of The Activity Provider within its sole discretion (e.g. in the case of potential fraud or compliance concerns).
4. The Partner Activity Provider will keep the information up-to-date by e-mailing or sending a message through Whatsapp. The Product Offer must include all necessary information about the Services. The Activity Provider must share any canceled or invalid Product Offers immediately. The Partner Activity Provider is responsible for any Client claim based on alleged or actual inaccuracies of the Product Offer, including Availability. The Partner Activity Provider will provide Services in accordance with the Product Offer, in good faith, and consistent with best practices and standards in the tours and activities industry.
4. Payment Collection
The Activity Provider instructs Safyrion to collect payments from Clients in the name and on behalf of The Partner Activity Provider and the Partners of The Activity Provider. The Partner Activity Provider agrees that Safyrion may from time to time act in its sole discretion appoint such Sub-Commercial Agent as it sees fit to receive those payments directly from Clients and to make onward payment of those sums successfully received to The Partner Activity Provider. Safyrion will bear the credit card and banking fees for the receipt of payment from Clients, provided that Safyrion may charge Clients a foreign exchange fee if applicable.
5. Changes
1. Clients occasionally make mistakes when making Bookings. Subject to availability, Safyrion may change the date, time, language, or number of persons for a Booking after a Client booked a Service. Such changes will be made at no charge to The Client or to Safyrion
6. Client Requests
1.The Partner Activity Provider will handle and respond to requests or complaints from Clients regarding the booked activities, complaints about The Partner Activity Provider personnel, and requests for refunds. In the event The Partner Activity Provider fails to respond to a Client complaint within two weeks and. The Client informs Safyrion about this, Safyrion will contact the Partner Provider to be able to advise The Client.
2. If The Partner Activity Provider proofs to be an unreliable partner, Safyrion will refuse to proceed in doing business with The Partner Activity Provider and will remove the activity from osafyr.com.
7. Cancellations; No Shows
The Activity Provider will accept cancellations of Bookings from Clients and changes no fee or payment.
8. Failure to Provide Services
1. If The Partner Activity Provider cancels a Booking or otherwise fails to provide Services to a Client as required by a Booking, Safyrion will give The Client a voucher through Safyrion. The Activity Provider acknowledges that its cancellation or other failure to provide Services damages Safyrion’s goodwill and reputation, and causes Safyrion to incur additional Client service expenses. Safyrion may terminate this Agreement for The Activity Provider’s material breach if The Activity Provider fails to provide Services as contracted. The Activity Provider will not be paid.
2. Safyrion can decide to remove the activity from the website from osafyr.com.
9. Intellectual Property
The Partner Activity Provider grants to Safyrion a non-exclusive, sublicensable (through one or more tiers), worldwide, fully-paid and royalty-free license, in any and all media now known or hereafter discovered or developed, to use, reproduce, adapt, translate, make derivative works of, modify, perform, publicly display, publicly perform, transmit, and distribute The Partner Activity Provider Content including (i) on or through the Safyrion Platform, (ii) in online and offline marketing materials, and (iii) as otherwise contemplated by this Agreement or agreed by the Parties.
10. Confidentiality
Each Party agrees that it will not use or disclose to any third party any Confidential Information disclosed to it by the other except as permitted in this Agreement.
11. Privacy of The Client
1. The Partner Activity Provider respects the privacy of The Client, and uses the provided Client information, only for the activity purposes.
2. The Partner Activity Provider is not allow to send to The Client unsolicited mail or emails, or other spam, make unsolicited phone calls or contact in any other way for the purpose of promoting or selling its own or third parties' products and/or services, with the exception, of course, of the business for which a request for quotation has been submitted.
12. Termination for Convenience
Either Party may terminate this Agreement as a whole or in part at any time for convenience effective upon 30 days’ notice. A termination can be done by sending an e-mail to info@Safyrion.com
as required by a court or other governmental authority.
13. Forum, choice of law and transfer of rights
1. Safyrion is authorized to transfer its rights and obligations under this agreement to a third party.
2. This - and any other - agreement(s) concluded between the parties is exclusively governed by Moroccan law. Should an obligation arise between the parties in the future, other than as a result of an agreement, that obligation shall also be governed by Moroccan law.
3. In the event that a dispute arises between the parties as a result of the agreement, the exclusively absolute competent court is the court in the district in which the municipality in which Safyrion’ s head office is located is subject. In the event that a dispute arises between the parties regarding non-contractual obligations, the court of exclusive absolute jurisdiction is also the court in the district in which the municipality in which Safyrion' s head office is located is subject.
